Summary

We are seeking a Senior Legal Counsel, reporting to the Assistant General Counsel, Financings and Compliance, to provide support for the BCE group of companies’ public disclosure and securities compliance matters. The ideal candidate for this position should have at least 5 years of relevant business law experience gained in private practice and/or an in-house legal department, with a particular focus on public disclosure and securities compliance obligations of public companies.

Key Responsibilities

  • Provide legal advice on securities compliance matters, including public disclosure and stock exchange requirements.
  • Draft, review, and advise on MD&As, annual information forms, annual reports, financial statements, press releases and analyst presentations.
  • Lead the legal review of sustainability reports and disclosure.
  • Support the Controller’s, Communications, and Investor Relations teams in preparing accurate and compliant disclosure materials.
  • Draft board resolutions, company policies, and other governance documents.
  • Ensure compliance with applicable securities laws and regulations and monitor market practice and new requirements and best practices.
  • Collaborate with internal stakeholders to manage legal risks and provide strategic advice.

Critical Qualifications

  • Called to the Bar of a Canadian province.
  • At least 5 years of relevant business law experience gained in private practice and/or within the legal department of a Canadian public company.
  • Strong understanding of Canadian securities laws and market practices.
  • Strong analytical skills, written and verbal communication skills and attention to detail.
  • Ability to understand, simplify, and explain complex legal issues to senior business leaders.
  • Excellent relationship management skills and the ability to work independently.
  • Sound judgment with the ability to manage ambiguity, make decisions and escalate issues when appropriate.
  • Strong time management and organizational skills, including being comfortable working under pressure to meet a variety of deadlines and set priorities.

Preferred Qualifications

  • Knowledge of the French language, verbal and written, is an asset.
  • Experience with ESG disclosure requirements is an asset.

Additional Requirements

Adequate knowledge of French is required for positions in Quebec.
